These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Customer") and BPSPLUS Private Limited, operating the brand PayRup ("PayRup", "Company", "We", "Us", "Our"). These Terms govern your access to and use of the PayRup website, mobile applications, wallet services, payment services, APIs, and all related products and services (collectively, the "Services").

By accessing, registering, or using any PayRup Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.Definitions

  • Account: The registered PayRup account created by a User.
  • Wallet / PayRup Wallet: A prepaid payment instrument used to store funds for transactions.
  • Merchant: Any business or entity accepting payments via PayRup.
  • Transaction: Any payment, recharge, transfer, or service request initiated through PayRup.
  • Applicable Law: All laws, regulations, RBI guidelines, and statutory requirements applicable in India.

2.Eligibility

  • Users must be 18 years or older and legally competent to contract.
  • By using PayRup, you confirm that the information provided is true, accurate, and complete.
  • PayRup reserves the right to deny access or terminate accounts that do not meet eligibility criteria.

3. Account Registration & Security

  • Users must maintain confidentiality of login credentials (OTP, PIN, passwords).
  • You are solely responsible for all activities conducted through your account.
  • Any unauthorized access must be reported immediately to PayRup support.

4. Services Offered

PayRup provides digital payment and financial utility services including but not limited to:

  • Wallet-based payments
  • Bill payments & recharges
  • Merchant payments
  • Transaction tracking & reports

Specific services may be subject to additional service-specific terms.

5. KYC & Regulatory Compliance

  • Users may be required to complete KYC verification as per RBI and regulatory norms.
  • PayRup may restrict, suspend, or terminate services for non-compliance.
  • KYC verification services may be facilitated via authorized third-party service providers.

6.User Obligations & Prohibited Activities

Users agree not to:

  • Engage in fraudulent, illegal, or unauthorized transactions
  • Misuse the platform or attempt to bypass security controls
  • Upload malware, viruses, or harmful code
  • Impersonate another person or entity
  • Use bots, scrapers, or automated tools without authorization

Violation may result in immediate suspension or termination of the account.

7. Transactions & Payments

  • All transactions are subject to successful authorization and processing.
  • PayRup is not responsible for transaction failures due to banks, networks, or third-party service providers.
  • Transaction records maintained by PayRup shall be considered final unless proven otherwise.

8. Fees & Charges

  • Applicable fees, convenience charges, or service charges will be disclosed prior to transaction confirmation.
  • PayRup reserves the right to revise charges with prior notice where applicable.

9. Refunds & Failed Transactions

  • Most transactions are final and non-refundable.
  • If a transaction fails but the amount is debited, refunds will be processed after verification.
  • Refund timelines may extend up to 21 working days, subject to banking partner processes.

10. Third-Party Services

  • PayRup may integrate with third-party payment gateways, banks, and service providers.
  • PayRup is not responsible for third-party products, services, delays, or failures.
  • Users are subject to third-party terms when availing such services.

11. Communications

  • Users consent to receive transactional, service-related, and promotional communications via SMS, email, WhatsApp, or app notifications.
  • Communication preferences may be updated where legally permissible.

12. Intellectual Property

  • All content, trademarks, logos, and software are the exclusive property of PayRup.
  • Unauthorized reproduction, distribution, or reverse engineering is strictly prohibited.

13. Limitation of Liability

  • Services are provided on an "as-is" and "as-available" basis.
  • PayRup shall not be liable for indirect, incidental, or consequential damages.
  • Maximum liability, if any, shall be limited to INR 10,000 or the transaction amount, whichever is lower.

14. Indemnity

You agree to indemnify and hold harmless PayRup, its directors, employees, and partners from any claims, losses, or damages arising from:

  • Your violation of these Terms
  • Unauthorized use of Services
  • Breach of Applicable Laws

15. Suspension & Termination

  • PayRup may suspend or terminate accounts without prior notice for policy violations, regulatory reasons, or suspected fraud.
  • Outstanding obligations shall survive termination.

16. Force Majeure

PayRup shall not be liable for failure or delay due to events beyond reasonable control, including natural disasters, network failures, or government actions.

17. Governing Law & Dispute Resolution

  • These Terms shall be governed by laws of India.
  • Disputes shall be resolved amicably; failing which, they shall be referred to arbitration under the Arbitration & Conciliation Act, 1996.
  • The seat and jurisdiction shall be Karnataka, India.

18. Amendments

  • PayRup reserves the right to modify these Terms at any time.
  • Continued use after changes constitutes acceptance of revised Terms.

19. Grievance Redressal

Users may raise complaints via:

PayRup shall endeavor to resolve complaints within prescribed timelines.
